These terms govern the supply of goods by Eco Ninjas Ltd. They are separate from the Terms of Use that apply to this website.
1.1 These terms apply to all contracts for the supply of goods by Eco Ninjas Ltd (company number 13008231) ("Eco Ninjas", "we", "us") to the customer ("you").
1.2 They apply in place of any terms you seek to impose, unless we agree otherwise in writing. Where goods are supplied under an NHS framework, for example Mediq, the framework terms apply and these terms supplement them so far as they are consistent.
2.1 Orders may be placed through our online ordering portal, through an applicable NHS framework, or in writing.
2.2 A contract is formed when we accept your order or dispatch the goods, whichever is earlier. We may decline an order.
3.1 Prices are as set out in our current price list or the applicable framework, and exclude VAT.
3.2 Delivery is free for orders over £350; orders below that value carry a delivery charge of £7.95.
3.3 Unless a framework or written agreement states otherwise, invoices are payable within 30 days of the invoice date.
4.1 We deliver to the address on your order. Delivery dates are estimates.
4.2 Risk in the goods passes to you on delivery.
4.3 Title to the goods passes to you only when we have received payment in full.
5.1 Goods are supplied to our standard specification. We may make minor changes that do not materially affect quality or fitness for purpose.
5.2 The detachable badge system and our product designs are our intellectual property, including a patent pending on the badge system. Nothing in the contract transfers any intellectual property to you.
6.1 We warrant that, on delivery, the goods are free from defects in materials and workmanship.
6.2 For 12 months from delivery we will repair or replace, at our option, any item that fails due to a manufacturing defect under normal clinical use and laundering in line with our care guidance.
6.3 The warranty does not cover fair wear and tear, loss, accidental or deliberate damage, misuse, alteration, or laundering that does not follow our care guidance or the applicable HTM 01-04 process.
6.4 This warranty is in addition to your statutory rights.
7.1 The goods are designed for central laundering to NHS HTM 01-04 thermal-disinfection parameters (71°C for at least three minutes, or 65°C for at least ten minutes). You are responsible for laundering the goods through a compliant provider and for following our care guidance.
7.2 You are responsible for your own infection prevention and control assessment, clinical approval, and standard operating procedures for use of the goods in your setting. We provide implementation guidance only, and do not assume responsibility for your clinical or infection-control processes.
8.1 Faulty goods: notify us within 30 days of discovering the defect and we will arrange repair, replacement or refund in line with clause 6.
8.2 Non-faulty goods: unused goods in original condition may be returned within 14 days by prior arrangement. Bespoke or personalised items, including printed badges, are non-returnable unless faulty.
9.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited or excluded.
9.2 Subject to clause 9.1, we are not liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
9.3 Subject to clause 9.1, our total liability under or in connection with each contract is limited to the greater of the price paid for the goods in question and the amount recoverable under our insurance in respect of the claim.
9.4 We maintain product and public liability insurance; details are available on request.
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
Each party will comply with applicable data protection law in respect of any personal data shared for the purpose of the contract.
12.1 These terms are the entire agreement for the supply of goods and supersede prior discussions.
12.2 No variation is effective unless agreed in writing.
12.3 The contract is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
